About Structured Finance for Nature

In 2025, Forest Carbon seeks to design and launch a structured finance vehicle with a target capitalization of $100M to expand its nature-based asset portfolio. The Structured Finance for Nature (SFN) instrument will finance a diversified portfolio of natural assets, with 60% dedicated to protecting intact ecosystems. This impact objective is made possible by a blended capital stack that enables development finance institutions and family offices to participate in support of impact goals.

Intact forests and wetlands are critical for carbon sequestration, biodiversity, and community resilience, but these ecosystems are rapidly deteriorating, especially in Southeast Asia. Environmental markets offer one of the only tangible solutions to protect these areas at the scale needed. The instrument aims to help establish intact forests, wetlands and marine areas as an emerging asset class.

Carbon credits are an important revenue stream, but a more holistic market is needed. The sector faces financial uncertainties and regulatory challenges. Despite these obstacles, the growing demand for high-quality efforts to conserve and restore critical ecosystems presents opportunities for innovative financial mechanisms that enable investor participation. SFN addresses key challenges hindering the establishment of a new class of natural assets. By aggregating diverse assets and creating a blended capital stack, SFN mitigates high upfront costs, long return timelines and project-specific risks. Rigorous monitoring and verification systems ensure project integrity and meet next-generation transparency expectations. With the endorsement of this instrument by CPI’s Global Innovation Lab, Forest Carbon aims to launch a replicable model for capital deployment, and set an industry standard in community benefit sharing. About The Role

In partnership with the Dutch Fund for Climate and Development (DFCD), the Global Innovation Lab, and FMO, Forest Carbon has created an initial design of the capital stack of the SFN with input from a range of leading prospective financiers.

Now Forest Carbon is seeking a seasoned structured finance expert to refine instrument parameters, with a particular focus on risk mitigation, financial modeling and finalizing the core investment terms. These efforts will support the first close of debt from anchor investors.

Arrangement can be remote with travel and in-person meetings as required.

Key Tasks

  • Appropriately size first loss and subordinated tranches in consultation with anchor investors.
  • Refine and document the risk mitigation strategy to identify and address market, delivery, financial and country risks in the instrument design.
  • In conjunction with the wider team, support ongoing pre-marketing discussions with prospective DFI investors and family offices to further ensure the instrument is bankable.
  • Consult with commercial investors on key elements of the Mezzanine tranche as needed.
  • Refine the current financial model based on the above design elements.
  • Consider applicable legal, regulatory, and tax considerations for structuring the vehicle, noting that tax/legal experts will be retained separately and this is not a core expectation of the role.
  • Finalize an instrument prospectus incorporating the above work.
  • Recommend updates to the FC business plan as necessary to accommodate the SFN

The expert will further refine the design of the instrument to ensure that the SFN can achieve the following key design principles:

  1. Reduce cost of capital for asset acquisition and development (reduce WACC).

  2. Finance a balanced environmental asset portfolio that ensures the protection of intact ecosystems in addition to forest restoration (60% dedicated to intact ecosystems).

  3. Reduce time to close on loans and/or green bonds for the SFN.

Expected Deliverables

Stage I: In the first three months - build the foundation for a term sheet through the following tasks:

  1. Develop the instrument design and feasibility study report.

  2. Finalize existing financial model and drawdown/repayment schedule.

  3. Building on the existing risk assessment, refi ne a plan to address risks and finalize investment terms.

Stage II: Subject to performance, spend next six-eight months closing the transaction:

  1. Lead due diligence and respond to investor data requests

  2. Develop a structuring, domicile and governance report

  3. Make recommendations on the impact measurement framework

  4. Implementation roadmap and execution plan

  5. Final instrument design and travel to close the transaction as needed

Mandatory Experience

  • Proven track record of designing and successfully raising capital into investment vehicles (minimum 10+ years of experience).
  • Strong network with DFIs and institutional investors (focus on NBS / environmental markets preferred).

Preferred Experience

  • Extensive experience in structured finance, with SE Asia background a plus.
  • Knowledge of nature-based solutions, environmental markets and/or conservation finance strongly preferred but not essential.

Reporting & Governance

  • The consultant will report to the SFN steering committee, providing bi-weekly progress updates. They will work closely with the Forest Carbon CFO and CIO on a more regular basis.
  • Some travel for stage II will be required, covered by Forest Carbon at economy-class rates.
