Position Overview
The Sr. Credit Administration Officer’s primary function will be working on a global level, administering the third-party portfolio guaranties and portfolio enhancement facilities, and producing the entire gamut of monthly and quarterly portfolio risk reports and will produce the key monthly portfolio risk reports assigned to the Credit Administration Department.
The Sr. Credit Administration Officer shall coordinate all assignments with the Sr. Director of Credit Administration. And will be asked to support the regional Credit Administration teams to close loans and loan amendments that have been approved by Root Capital in accordance with approved loan closing policies and procedures. Prior to closing, the Sr. Credit Administration Officer will ensure that loans submitted for approval have cleared a KYC/AFT compliance check, the required business documentation has been provided and that proposed terms and conditions comply with internal policy. He/She/They will also support Root Capital staff servicing the loans to ensure that active loans are disbursed in accordance with the established terms and conditions, ensure that legal notifications being sent to Root Capital borrowers are accurate, and coordinate the drafting and registration of security documents with external legal counsel, primarily in the regions of Africa and Indonesia.
Primary Responsibilities
Third Party Guaranties and Portfolio Reports at Global Level (40%)
- Coordinate the process to select and place loans under coverage of each third-party guaranty and portfolio enhancement facilities administered by the Credit Administration Department and ensure the same are properly carried out.
- Process and submit periodic reports on loans under coverage in accordance with existing third guaranty and portfolio enhancement facilities coordinating with Risk Management, Accounting, FP&A, and External Affairs to gather the necessary data and serve as the single point of contact for all reporting requirements for loans placed in facilities administered by the Credit Administration Department.
- Maintain internal usage reports and dashboards for each third-party guaranty and share them with the appropriate Root Capital departments.
- Maintain third party guaranty fact sheets and review third party guaranty agreements/amendments to ensure operational effectiveness.
- Conduct trainings and draft instructions on the third-party guaranty reporting and placement processes.
- Communicate changes to reporting requirements and placement processes for third party guaranty and portfolio enhancement facilities administered by the Credit Administration Department to Root Capital staff.
- In coordination with the Risk Managers, the Sr. Director of Credit Administration, and the Chief Credit Officer Process and submit guaranty claims.
- Coordinate with the Risk Managers, Accounting, and Treasury to accurately process post-claim recoveries and ensure third party guaranty providers are paid in a timely fashion.
- Review invoices, coordinate approvals and ensure any third-party guaranty usage fees are paid in a timely fashion.
- Support Accounting and Treasury Operations in the reconciliation of third party guaranty transactions.
- Provide back-up support, as needed, for Portfolio Risk Analyst in preparation of monthly and quarterly portfolio quality reports.
- Produce the monthly and quarterly portfolio reports assigned to Credit Administration in coordination with Sr. Director of Credit Administration and the Chief Credit Officer. These currently include but are not limited to the Large Impaired Secured Loans Report, the third-party guaranty tab for the portfolio risk composition report, Clients Above Exposure Limits Report, and the DFC Guarantee slides presented at ROC and for CSC.
- In coordination with the Sr. Director of Credit Administration, support with the annual External Audit by gathering loan and any guaranty documentation requested by auditors.
Global Support in Loan Documentation and Closing (35%)
Loans will be assigned by the Regional Credit Administration Managers on an as needed basis, but will mainly be, but not limited to, loans to borrowers in Indonesia, and in francophone regions in the Democratic Republic of the Congo and Rwanda. For these loans, the Sr. Credit Administration Officer will:
- Review approved terms and conditions and ensure compliance with Root Capital Credit Policy.
- Ensure all legal and regulatory documentation required prior to closing (i.e., licenses, certifications, statutory and constitutional documents) are received, valid, and correctly stored in credit files in accordance with Root Capital Credit File Policy.
- Draft and/or Review all loan documents and related security documents. This includes using internal and pre-approved templates, whenever possible, for core documentation and instructing local counsel to draft the loan security documentation that will be reviewed by her for accuracy and completeness.
- In Coordination with the Regional Manager of Credit Administration, ensure the final loan documentation sent for execution is properly formatted, proofread and free of errors, and accurately reflects what was approved by the credit committee.
- Review final loan documentation with Loan Officers, clarifying any concerns before documentation is sent to borrowers for execution.
- Ensure executed loan documentation, once received, is property executed by external parties, any conditions precedent to closing are met and loans are properly closed and booked in the loan management system.
- Ensure original loan documents for assigned loans are in safe custody and properly stored at all stages of the loan process. This includes tracking the location of originals in the loan management system.
Loan Servicing, Third Party Service Provider Administration, and KYC Compliance (15%)
- Draft additional loan documents for closed loans, as needed. This includes, but is not limited to, repayment instructions for valid purchase agreements, any amendments, and waivers.
- Ensure that any approved amendments or waivers assigned for drafting accurately reflect what was approved by the credit committee, comply with internal policies, and are structured such that they do not negatively impact the overall enforceability of the loan agreement and related documents in the relevant jurisdiction.
- Validate disbursement requests and ensure compliance with the terms and conditions established in the loan documents and Root Capital’s Credit Policy.
- In coordination with the Regional Credit Admin Manager, Treasury Operations, Internal and External Legal Counsel, and the Lending Team, draft and/or review default and other legal notices and ensure final versions are accurate, properly formatted, proofread and free of errors, and appropriately signed by the right staff member with correct signing authority before being sent to borrowers in a timely fashion.
- Ensure approved documentation exceptions are monitored and resolved within the agreed or legally permissible timeframe.
- When applicable, liaise with local counsel and ensure the registration process of any collateral is completed in in the agreed or legally permissible timeframe.
- When applicable, liaise with appraisers and ensure valuations are completed in the agreed timeframe.
- Bring to the attention of Sr. Director of Credit Administration, changes in legislation or channel advice received on procedural improvements that help to ensure final loan documentation is enforceable in the relevant jurisdictions where RC operates.
- In coordination with Regional Credit Administration Manager for Africa and Indonesia support efforts to seek and hire new third-party service providers (lawyers, appraisers, translators and monitors), as need.
- Review invoices, coordinate approvals and ensure third party service providers are paid in a timely fashion and in compliance with procurement policies.
- In coordination with the Credit Administration Regional Manager for Africa and Indonesia, establish, as needed, and maintain databases of third-party service providers for Regions of Africa and Indonesia.
- In coordination with the Credit Administration Regional Manager for Africa and Indonesia and the General Counsel coordinate any legal reviews, as needed, in Africa and Indonesia.
- Serve as a KYC/AFT Compliance Officer and perform KYC/AFT compliance checks on buyers and borrowers.
- Ensure KYC/AFT policies and procedures are complied with in Africa and Indonesia.
Procedure and Process Documentation and Improvement, including Maintenance of Loan Document Templates and Credit Administration Manuals and Guides (10%)
- Collaborate with Credit Administration Regional Manager to ensure that Root Capital’s standard loan agreement templates utilized in assigned sub-region and locally drafted documents are updated to reflect any relevant revisions to credit policy and reflect learnings from recent legal opinions and questionnaires.
- In coordination with the EAF Credit Administration Officer and the Lending Operations Associate, help maintain Lending Country Guides and Legal Review Summary Spreadsheet for assigned countries in Africa and for Indonesia up to date and reflect any relevant revisions to credit policy and reflect learnings from the lending and risk team and recent legal opinions and questionnaires.
- Collaborate with the Credit Administration team to create and maintain the Credit Administration User Manual up to date and reflect any relevant revisions to the credit administration tasks, as assigned and develop any tools, as necessary, to better monitor tasks.
- Contribute to the development, review and continuous improvement of lending policy and processes.
- Offer ongoing guidance to lending team underwriting assigned loans on credit structuring requirements, policy and procedural changes as they relate to the loan closing process.
- Support Credit Administration in preparing materials and delivering training to Lending Team, as assigned.
