Role Overview
We are looking for a Legal professional who will play a key role in strengthening Virohanʼs Legal, compliance, and corporate structuring foundation. This role entails end-to-end responsibility for general corporate matters, private equity and M&A transactions, ensuring legal compliance, managing contracts, and providing strategic legal advice to stakeholders. It requires strong expertise in corporate law, contract management, risk mitigation, and stakeholder management, while serving as a trusted advisor as the company scales.
What youʼll be responsible for?
Compliance and Risk Management:
- Ensuring the company complies with all relevant laws, rules, and regulations.
- Identifying and mitigating legal risks through policies and audits.
- Developing and implementing risk management strategies.
Contract Management:
- Draft, review, negotiate, and finalize a wide range of agreements including:
- Vendor agreements
- Service agreements
- NDAs, MoUs, partnership contracts
- Ensure contracts align with legal requirements and business interests.
- Develop and standardize contract templates and processes.
Corporate Transactions:
- Assisting with the legal aspects of mergers, acquisitions, and divestitures.
- Structuring and advising on funding and investment deals.
- Handling the legal processes for business incorporation, restructuring, or dissolution.
Business Collaboration:
- Work closely with business leaders to understand their objectives and provide legal guidance that aligns with business goals.
- Facilitate effective communication between the legal function and other departments to ensure integrated risk management.
Day-to-Day Legal Operations:
- Managing a companyʼs legal and financial functions.
- Coordinating with internal teams for legal inputs and approvals.
- Encourage continuous professional development within the legal team.
